These Terms of Service ("Terms") govern your access to and use of the OmniRogue website, platform, software, subscriptions, digital credits, lifetime access packages, enterprise services, white-label services, and related products and services collectively referred to as the "Services."

By accessing OmniRogue, creating an account, purchasing a subscription, buying credits, purchasing lifetime access, purchasing an enterprise or white-label license, or otherwise using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use or purchase the Services.

2. Eligibility and Age Requirements

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account, purchase a subscription, or use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract with OmniRogue.

3. Customer Support Response Time

For billing, cancellation, access, or technical support, contact support@omnirogue.com. We aim to respond to support requests within 1–3 business days. For urgent billing issues, please include the email address used at purchase, the charge date, the amount charged, and the billing descriptor shown on your statement.

4. Description of Services

OmniRogue is a software-as-a-service platform that provides consumers, businesses, agencies, and enterprise customers with access to AI-powered tools, including AI agents, chatbots, workflow automation, document processing, content generation, image and video generation where available, and productivity tools.

Customers may purchase software subscriptions, platform access, digital credits, lifetime access packages, usage-based AI services, onboarding, implementation services, enterprise licenses, white-label licenses, or related digital tools.

All Services are delivered digitally unless explicitly stated otherwise. No physical goods are shipped.

5. Digital Delivery Policy

OmniRogue products and services are delivered digitally. After successful payment, customers typically receive access through an OmniRogue account, login credentials, onboarding instructions, email delivery, account dashboard, or other digital access method.

If you do not receive access within 24 hours after successful payment, contact us at support@omnirogue.com.

Because the Services are digital, there are no physical shipping fees, physical delivery timelines, or physical returns.

6. No Shipping or Physical Returns

OmniRogue provides digital software services only. No physical products are shipped, and no physical returns are accepted.

7. Merchant of Record, Seller of Record, Connected Accounts, and Billing Relationship

For purchases made directly from OmniRogue, OmniRogue Inc. is the merchant of record unless the checkout page states otherwise.

For purchases made through a white-label partner, reseller, connected business, enterprise customer, agency, affiliate, or third-party brand using OmniRogue's platform, the applicable checkout page, receipt, billing descriptor, order confirmation, connected account, or partner agreement may identify the applicable seller of record, merchant of record, business name, DBA, or payment processor.

OmniRogue may provide software, platform infrastructure, checkout technology, subscription management, payment routing, billing support, access controls, usage tracking, transaction reporting, and related services for white-label, reseller, enterprise, affiliate, or connected-account transactions.

Depending on the checkout configuration, charges may be processed by OmniRogue, by a connected account, by a white-label partner, by a reseller, by an enterprise customer, or by a third-party payment processor. OmniRogue may receive platform fees, application fees, usage fees, commissions, revenue shares, subscription fees, license fees, or other amounts related to transactions processed through or in connection with the Services.

Unless otherwise stated at checkout or in a separate written agreement, the party identified as the seller or merchant of record is responsible for customer support, refunds, disputes, chargebacks, taxes, advertising claims, product representations, and compliance related to its own customers and offers.

8. Billing Descriptor

Charges may appear on your billing statement as one of the following, or a substantially similar descriptor:

  • OMNIROGUE AI
  • OMNIROGUE
  • The applicable client brand, white-label brand, or connected account DBA

The exact descriptor may vary depending on the payment method, processor, card network, bank, checkout configuration, or connected-account setup.

If you do not recognize a charge, contact support@omnirogue.com before initiating a bank dispute so we can help identify or resolve the transaction.

9. Plans, Credits, Pricing, and Purchases

OmniRogue may offer monthly subscriptions, lifetime access packages, credit packages, enterprise subscriptions, white-label licenses, one-time purchases, usage-based services, and other digital products as displayed at checkout.

Consumer plans may include:

  • Creator — includes 1,000 monthly credits
  • Studio — includes 2,250 monthly credits
  • Scale — includes 3,500 monthly credits
  • Lifetime Access — includes 5,000 credits and does not require a monthly subscription fee

Monthly subscription pricing may include:

  • $14.99 USD per month
  • $29.99 USD per month
  • $49.99 USD per month

OmniRogue may also offer enterprise or white-label licenses, including plans starting at $499 USD per month, or other pricing as displayed at checkout or agreed in writing.

The price displayed and confirmed at checkout applies to your purchase. Prices, packages, features, credit amounts, and plan names may change from time to time. Pricing changes do not affect a purchase already completed unless you modify, upgrade, downgrade, renew, or repurchase a plan.

If we increase the price of your active, recurring subscription, we will provide you with advance notice before the new price takes effect, giving you the opportunity to cancel before you are charged the higher amount.

10. Credits and Usage-Based Services

Some OmniRogue plans include credits or points that may be used for eligible AI features, including but not limited to text generation, image generation, video generation, document processing, automation, or other compute-based features.

Credits are digital access units and have no cash value. Credits are not gift cards, stored-value products, currency, securities, or financial instruments.

Unless expressly stated otherwise at checkout:

  • Subscription credits expire at the end of each monthly billing period.
  • Unused monthly credits do not roll over.
  • Credits are non-transferable.
  • Credits are non-refundable.
  • Credits may only be used for eligible OmniRogue Services.
  • Lifetime access credits may be subject to fair use, platform safeguards, and abuse-prevention limits.

OmniRogue may adjust credit usage rates based on model/provider costs, compute requirements, feature availability, or platform changes.

11. Subscriptions, Auto-Renewal, and Ongoing Billing Consent

By purchasing a subscription, you acknowledge and agree that your subscription automatically renews at the stated billing interval until canceled. You authorize OmniRogue Inc., its payment processors, or the applicable seller or merchant of record to charge your stored payment method for each renewal period unless you cancel before renewal.

If your payment method fails, we may retry the payment method, request updated billing information, suspend access, downgrade features, or cancel your subscription. You remain responsible for unpaid amounts incurred before cancellation or suspension.

12. Free Trials and Promotional Offers

If a free trial, discounted trial, coupon, or promotional offer is displayed at checkout, the specific trial length, renewal amount, billing date, and cancellation terms shown at checkout will control.

Unless canceled before the trial or promotional period ends, the subscription will renew at the price disclosed at checkout.

Promotional offers may be limited to new customers, specific plans, specific dates, or other eligibility requirements stated at checkout.

13. Cancellation Policy

You may cancel your subscription at any time to prevent future billing.

Online Cancellation

You may cancel through your billing dashboard at: https://omnirogue.com/billing. Dashboard cancellations are effective immediately for future billing.

Email Cancellation

You may also request cancellation by emailing support@omnirogue.com from the email address associated with your account. Email cancellation requests should be sent at least 24 hours before renewal to allow processing. Email requests are typically processed within 1–3 business days.

Effect of Cancellation

After cancellation, you will retain access through the end of your current paid billing period unless your account is terminated for violation of these Terms. No prorated refunds or credits are issued for unused time unless required by law.

14. Refund Policy

Due to the digital nature of the Services, all digital products, subscriptions, credits, usage packages, lifetime access packages, deposits, enterprise licenses, white-label licenses, software access, and compute-related services are non-refundable except where required by law.

Subscriptions

Subscription fees are non-refundable once a billing period has started.

Credits and Usage Packages

Credits and usage packages are non-refundable, have no cash value, and may only be used for eligible OmniRogue Services.

Lifetime Access

Lifetime access purchases are non-refundable except where required by law. "Lifetime access" means access for the commercial lifetime of the applicable OmniRogue product, plan, or service, not the lifetime of the purchaser. Lifetime access is subject to these Terms, third-party provider availability, acceptable use, technical limitations, discontinued features, platform changes, and legal or compliance restrictions.

Deposits

Deposits are non-refundable when they reserve onboarding time, implementation resources, licensing access, platform capacity, dedicated resources, or other digital service capacity.

Enterprise and White-Label Licenses

Enterprise and white-label license fees are non-refundable once purchased, activated, provisioned, or delivered, except where required by law or expressly stated in a separate written agreement.

Legal Exceptions

Refunds will be issued where required by mandatory consumer protection laws. If you believe you were charged in error, contact support@omnirogue.com before initiating a bank dispute so we can review the transaction.

For reseller, white-label, affiliate, enterprise, or connected-account transactions, refunds may be handled by the applicable seller of record, merchant of record, connected account, or payment processor. Refunds, reversals, and chargebacks may reduce or reverse related platform fees, application fees, commissions, revenue shares, credits, payouts, or partner balances.

15. Taxes

Prices shown at checkout may exclude applicable taxes unless stated otherwise. Where required, taxes may be calculated and added at checkout based on your billing information, location, product type, and applicable law. You are responsible for any taxes, duties, levies, or similar charges associated with your purchase unless otherwise required by law.

16. Payment Disputes and Chargebacks

If you have a billing concern, you agree to contact support@omnirogue.com before initiating a bank dispute or chargeback so we can attempt to resolve the issue.

If a dispute, chargeback, reversal, or payment inquiry is initiated, OmniRogue may temporarily suspend or limit access to the Services while the matter is reviewed.

We may provide transaction records, account access logs, IP information, usage records, customer communications, checkout records, order confirmations, cancellation records, and these Terms to payment processors, issuing banks, card networks, dispute-prevention services, fraud-prevention vendors, or other parties involved in resolving the payment dispute.

Fraudulent, abusive, or repeated chargeback activity may result in account suspension or termination.

For white-label, reseller, affiliate, enterprise, or connected-account transactions, disputes and chargebacks may be handled by the applicable seller of record, merchant of record, connected account, or payment processor. OmniRogue may suspend access, disable checkout, preserve records, offset amounts, withhold commissions, or adjust revenue-share calculations while any payment dispute, refund, reversal, fraud review, or processor inquiry is pending.

17. Acceptable Use

You agree not to misuse the Services or help others misuse the Services. You may not use the Services to create, upload, distribute, facilitate, or promote:

  • Illegal content or unlawful activity
  • Spam, phishing, or unsolicited bulk messaging
  • Fraud, scams, deceptive schemes, or impersonation
  • Malware, credential theft, hacking, unauthorized access, or cyber abuse
  • Non-consensual deepfakes, impersonation, or deceptive synthetic media
  • Nudity, adult content, pornography, or sexually explicit content
  • Content involving sexual exploitation or abuse
  • Political persuasion, targeted political campaigning, or deceptive political content
  • Medical, legal, financial, or regulated professional advice without appropriate human review and required professional authorization
  • High-risk decision-making, including decisions related to employment, credit, housing, insurance, criminal justice, education admissions, healthcare eligibility, or similar regulated areas
  • Content that infringes intellectual property rights or violates privacy rights
  • Content intended to harass, threaten, exploit, or harm others
  • Attempts to bypass safety systems, rate limits, usage limits, or access controls
  • Automated scraping, botting, abusive usage, or activity that degrades platform performance

OmniRogue blocks or restricts adult content, nudity, and other prohibited content where detected. We may suspend or terminate accounts that violate this Acceptable Use Policy.

18. Fair Use, Rate Limits, and Platform Safeguards

To protect reliability, security, and fair access to the Services, OmniRogue may implement rate limits, throttling, storage controls, abuse detection, credit limits, usage caps, model restrictions, review queues, or other safeguards.

OmniRogue may suspend, restrict, or terminate accounts that materially interfere with platform stability, attempt to bypass limits, drain resources, automate abuse, or create excessive cost, risk, or harm.

"Unlimited" or high-usage features, if offered, are subject to reasonable fair use, technical limits, abuse-prevention controls, and platform safeguards.

19. User Content and License

You retain ownership of content you submit to the Services, including prompts, files, documents, messages, images, audio, video, business data, or other materials ("User Content").

You grant OmniRogue a limited, non-exclusive, worldwide license to host, process, transmit, store, reproduce, display, and use User Content solely as necessary to provide, secure, maintain, improve, troubleshoot, and operate the Services; prevent abuse; comply with legal obligations; and enforce these Terms.

We do not use customer content to train public AI foundation models. Customer content may be processed by OmniRogue and third-party AI providers solely to provide requested features, generate outputs, maintain security, troubleshoot issues, prevent abuse, and comply with legal obligations, unless otherwise agreed in writing.

20. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information and payment data. By using the Services, you consent to our data practices as described in the Privacy Policy.

21. AI Outputs

The Services may generate outputs using artificial intelligence, automation, or third-party AI models. AI outputs may be inaccurate, incomplete, offensive, outdated, or unsuitable for your specific use case.

You are responsible for reviewing, verifying, editing, and approving outputs before relying on them, publishing them, sending them, using them commercially, or making decisions based on them.

OmniRogue does not guarantee that outputs are accurate, original, non-infringing, legally compliant, or appropriate for your intended use.

Subject to your compliance with these Terms, you may use outputs generated through the Services for lawful personal or commercial purposes. However, you are solely responsible for ensuring that your use of outputs complies with applicable laws, third-party rights, platform rules, and any third-party provider terms.

Automated AI Moderation and Content Filtering

To comply with payment network rules and our Acceptable Use Policy, OmniRogue employs automated moderation tools, safety filters, and monitoring mechanisms designed to prevent the generation of prohibited, illegal, or harmful content.

You acknowledge and agree that your prompts, inputs, and generated outputs may be automatically reviewed by these safety systems. We reserve the right to block requests, delete generated outputs, and flag accounts that attempt to generate restricted content, including but not limited to explicit adult material, non-consensual deepfakes, self-harm instructions, or malicious code.

Repeated attempts to bypass, reverse-engineer, or "jailbreak" our safety filters, or the safety filters of our third-party AI providers, will result in immediate account termination without a refund and potential reporting to law enforcement or relevant third parties.

22. No Professional Advice

The Services do not provide legal, medical, financial, tax, accounting, investment, insurance, employment, or other regulated professional advice.

Any outputs related to regulated fields are for informational purposes only and must be reviewed by a qualified professional before use. You are solely responsible for ensuring that your use of the Services complies with applicable laws, professional rules, industry regulations, and licensing requirements.

23. Third-Party Services

The Services may integrate with or rely on third-party services, including AI model providers, cloud infrastructure providers, storage providers, analytics tools, payment processors, authentication providers, communication tools, and other vendors.

Third-party services are governed by their own terms, policies, pricing, availability, and privacy practices. OmniRogue is not responsible for third-party services, outages, changes, rate limits, pricing changes, content restrictions, or provider decisions.

24. Intellectual Property

OmniRogue owns and retains all rights in the Services, including software, workflows, systems, interfaces, branding, designs, documentation, platform features, and improvements. You receive only the rights expressly granted in these Terms. No rights are granted by implication.

If you provide feedback, suggestions, feature requests, or ideas, you grant OmniRogue the right to use them without restriction, attribution, or compensation.

25. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us promptly if you suspect unauthorized access or misuse of your account.

OmniRogue is not responsible for losses caused by your failure to secure your account, devices, passwords, API keys, team access, or integrations.

26. Suspension and Termination

We may suspend, restrict, or terminate your access immediately if we reasonably believe that you:

  • Violated these Terms
  • Created legal, payment, security, fraud, chargeback, or processor risk
  • Misused the Services
  • Used the Services for prohibited content or prohibited activity
  • Failed to pay amounts owed
  • Attempted to bypass platform limits or security controls
  • Created harm or risk to OmniRogue, users, partners, processors, or third parties

Upon termination, your right to access the Services ceases. We may retain records as necessary for legal, tax, accounting, fraud-prevention, dispute-resolution, and security purposes.

27. Enterprise, White-Label, Reseller, Affiliate, and Connected Account Terms

Certain customers may purchase or receive access to enterprise services, white-label licensing, agency access, reseller access, affiliate access, connected-account billing, revenue-share programs, or other business-level services. These relationships may be subject to additional written agreements, partner terms, onboarding requirements, compliance reviews, payment processor requirements, tax requirements, payout terms, usage-cost terms, revenue-share terms, reserve requirements, support requirements, and risk controls.

If there is a conflict between these Terms and a signed written agreement between you and OmniRogue, the signed written agreement will control for that specific relationship.

OmniRogue may modify, suspend, restrict, or terminate enterprise, white-label, reseller, affiliate, or connected-account privileges if we reasonably believe the account creates elevated legal, payment, fraud, refund, chargeback, customer support, processor, compliance, platform, reputational, or operational risk.

28. Connected Account, Reseller, White-Label, and Partner Compliance

White-label partners, connected accounts, agencies, resellers, affiliates, and enterprise customers must provide accurate business, tax, ownership, website, support, customer service, billing, and banking information.

They may not use OmniRogue, OmniRogue Billing, connected-account billing, payment routing, application-fee structures, or related payment infrastructure for prohibited or restricted products, misleading offers, unauthorized transactions, high-risk activity, deceptive marketing, unlawful activity, or activity that violates payment processor rules, card network rules, applicable law, these Terms, or any applicable partner agreement.

Payment Processing Services and Stripe Agreement

Payment processing services for connected accounts, resellers, and partners are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to operate as a connected account on OmniRogue, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time.

All customer subscriptions, purchases, or transactions that are required to be processed through OmniRogue Billing or an approved connected-account flow must not be bypassed, rerouted, duplicated, hidden, or processed through an unauthorized external checkout in a way that avoids platform fees, application fees, usage fees, commissions, revenue shares, reporting, compliance review, or risk controls.

Right to Withhold and Offset

OmniRogue may suspend processing, disable checkout links, restrict account access, delay payouts, require reserves, request additional documentation, reverse or offset amounts, withhold commissions, adjust revenue-share calculations, terminate partner access, or take other commercially reasonable action if a connected account, reseller, partner, affiliate, or enterprise customer creates elevated fraud, refund, chargeback, compliance, legal, processor, customer-support, advertising, reputational, or platform risk.

You authorize OmniRogue, to the extent permitted by law and applicable payment processor rules, to withhold, offset, recover, or deduct from amounts otherwise payable to you any amounts you owe us, including refunds, chargebacks, disputes, usage costs, unpaid fees, fraud losses, and associated costs.

Partner payouts, commissions, revenue shares, usage-cost deductions, reserves, payout schedules, application fees, platform fees, and related commercial terms are governed by the applicable partner agreement, dashboard terms, checkout terms, written offer terms, or separate commercial agreement. Unless otherwise agreed in writing, payout and revenue-share calculations may account for refunds, disputes, chargebacks, reversals, failed payments, payment processing fees, taxes where applicable, reserves, platform fees, third-party AI/API usage costs, fraud losses, credits, adjustments, and other transaction-related costs or deductions.

OmniRogue may review reseller, white-label, affiliate, enterprise, or connected-account offers, checkout pages, support information, refund policies, advertising claims, and customer-facing disclosures before enabling or continuing payment processing access through OmniRogue Billing or approved connected-account flows.

29. Changes to Services

We may modify, add, remove, suspend, replace, or discontinue features, models, integrations, pricing, credit usage rates, workflows, or Services at any time. Some features depend on third-party providers and may change without notice due to provider availability, pricing, policy changes, technical limitations, or legal requirements.

30. Changes to Terms

We may update these Terms from time to time. We will post updates with a revised "Last Updated" date. If changes materially affect your rights, we may provide additional notice where appropriate. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

31. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available." OmniRogue disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and uninterrupted service.

We do not warrant that the Services will be uninterrupted, error-free, secure, accurate, compliant with your specific requirements, or free from harmful components.

32. Limitation of Liability

To the maximum extent permitted by law, OmniRogue Inc. is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost data, reputational harm, service interruptions, or third-party provider failures.

Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to OmniRogue for the Services giving rise to the claim during the twelve months preceding the event that gave rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

33. Indemnification

You agree to indemnify and hold harmless OmniRogue Inc., its officers, directors, employees, contractors, affiliates, vendors, and partners from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use or misuse of the Services
  • Your User Content
  • Your violation of these Terms
  • Your violation of applicable law
  • Your violation of third-party rights
  • Your products, services, customers, or white-label use of the platform
  • Your payment disputes, fraud, chargebacks, or prohibited activity

34. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in Florida, unless otherwise required by applicable law.
